A can of Fool's Fix

The start-up model is backwards.

  • Investors get equity.
  • Advisers get equity.
  • Celebrities get equity.
  • Influencers get equity.

We decided to reverse it. Our first 20,000 customers will have the opportunity to share in a 10% customer ownership pool.

This is the world's first customer owned launch.

How it works

Join the Fellowship

  1. Buy any pack

Buy any Fool's Fix pack from this website: the 6-pack, the 12-pack or the 24-pack. Prices from £23.99, VAT included. Free standard UK delivery on the 12 and 24 packs; £3.95 on the 6-pack.

  2. Register for your shares

Come back here and register for your shares. You will need your order number and the date you placed your order. Your unique ORDER NUMBER is sent directly to your email address. Buying Fool's Fix makes you eligible, but you still need to register to receive your 100 shares.

  3. We reconcile your registration

We check your registration against our sales records to confirm it is valid. No shares are allotted when you purchase or when you register.

  4. Welcome to the Fellowship

We allot shares periodically. Once yours have been allotted you become a registered shareholder, and you also get a lifetime discount, a Founding Fool number and a digital card.

Share Ownership

Is this real ownership?

Yes. Registered recipients receive 100 ordinary shares in Fool's Fix Fellowship Ltd (company number SC899467), a company that holds a 10% stake in Fool's Fix Ltd (company number SC854824). These are ordinary shares without any special restrictions attaching to them. Once the shares are allotted you become a registered shareholder, and you get the documentation to prove it.

How do I register?

Buy any of the three packs, then come back to this site and complete the Fellowship registration form. Your unique ORDER NUMBER is sent directly to your email address, so check your emails for "ORDER NUMBER". You will also need the date you placed your order. The form also asks for your full legal name, address and date of birth, all of which we need for the shareholder register.

Registering is a separate step from buying. Buying Fool's Fix does not automatically guarantee an allocation of shares: if you buy and never register, you do not receive shares.

How much will I own?

Everyone gets the same allocation: 100 ordinary shares in Fool's Fix Fellowship Ltd. The Fellowship holds 10% of Fool's Fix Ltd, and that 10% is shared between up to 20,000 founding members.

Can I buy more packs to earn more ownership?

No. Ownership is one allocation per registered recipient, not one per pack. Whether you start with the 6-pack, the 12-pack or the 24-pack, you receive the same 100 shares. Buying more simply means more Fool's Fix in the cupboard for the mornings that need it.

The purchase price you pay is for the Fool's Fix drink pack. Buy the drink because you want the drink, and treat the shares as a bonus.

Who is eligible?

Anyone who purchases a qualifying Fool's Fix pack and then completes the registration form. Fool's Fix is intended and marketed for adults aged 18 and over.

When do I actually get the shares?

Here is the sequence in full. You buy a qualifying pack. You come back to this site and complete the registration form. We reconcile your registration against our sales records to confirm it is valid. We then allot 100 new ordinary shares to registered recipients periodically.

No shares are allotted when you purchase, or when you register. You are registering to receive 100 ordinary shares in the future. Every share is an ordinary share of the same class, with no difference in voting, dividend or distribution rights. Everyone ranks identically.

The shares will be provided for free as a product launch benefit.

When can I register, and when does it close?

You can register at any point from buying your pack. Registration closes once we reach 20,000 valid registrations. Buying Fool's Fix makes you eligible, but you still need to register to receive your 100 shares, so don't leave it too late.

Can I take part if I am not in the UK?

Participation is not restricted to UK residents, although availability remains subject to any laws or restrictions that apply to you in the country where you live. The practical limit at the moment is delivery: we currently ship within the UK only, so you need to be able to buy a qualifying pack in order to become eligible.

Who handles the share certificates?

We use a share administration platform for the allotment itself, the share certificates and the ongoing administration. Once the registrations are reconciled, the final dataset goes into that platform and the certificates are issued from there.

Can the ownership become valuable?

The shares will be provided for free as a product launch benefit, and the purchase price paid by the customer is for the Fool's Fix drinks pack not the shares. Customers should not buy Fool's Fix expecting a payout from these shares.

The shares could potentially become valuable. The shares represent real ownership in the company. If the company grows and becomes more valuable, the value of your shares could increase too. But there is no guarantee that they will increase in value, they could stay the same and ultimately be worth nothing. Shares in a new company are considered a high-risk investment and customers are unlikely to be protected if something goes wrong.

We're building Fool's Fix with the ambition of creating a valuable global brand, and Founding Fools get to own a small part of that journey from the beginning.

Can I sell it?

These are ordinary shares without any special restrictions attaching to them. That said, treat them as illiquid: Fool's Fix is a private company, there is no public market for these shares, they cannot be traded like a listed stock, and you may not be able to find a buyer.

Will I receive dividends?

There is no dividend promised or planned. Fool's Fix is an early-stage company, and any profits would be expected to go back into growing the business rather than out as income. You should not buy Fool's Fix expecting a payout from these shares.

What are the shares worth right now?

The shares don't have any market value today. Fool's Fix is a private, early-stage company and there is no public market for its shares.

The shares are being given to you for free as part of your Founding Fool membership. Their value in the future will depend on what happens to the company, they could become more valuable, remain of limited value, or ultimately be worth nothing.

What about tax?

Any tax consequences will depend on your individual circumstances and where you live. Fool's Fix cannot provide tax advice and you should take your own advice if you are unsure.

Why are you doing this?

Our first 20,000 customers purchasing the drink are the ones building this brand, so our first 20,000 customers should have the opportunity to own a piece of it.

We're doing this because we believe in this drink and we think you will too.

What is the vision?

To build the drink people actually reach for as their last drink of the evening, part-owned by the people who drink it. A brand where the early believers share in what they helped create, and the whole thing grows because the people who own it want it to. Fewer suits, more Fellowship.

Give me a brutally honest overview

Here is the plain version. We are giving away 10% of Fool's Fix to our first 20,000 customers. You buy any box, you register and we allot you 100 ordinary shares if you are within the first 20,000 customers.

The honest part is that these are shares in a young company. They are not a savings account and not a bet with a promised payout. They could grow into something, or they could end up worth nothing, and there is no guarantee either way. So buy the drink because you want the drink, and treat the ownership as a bonus rather than the reason.

How should I view this offer?

Fool's Fix is being built as the world's first customer owned launch. Instead of giving equity to investors, advisers, celebrities and influencers before a single can is sold, the first 20,000 customers share a 10% ownership pool. You buy the drink because you want the drink, and the shares come with it because we would rather the people building this brand's success were the people drinking it. It is an experiment in a different kind of start-up. It could work brilliantly, or it might not, and there is no guarantee of any return. But the ownership itself is genuine.
